1. Company Information
RapidShips LLC ("RapidShips," "we," "our," or "us") is a warehousing, logistics, transportation coordination, fulfillment, transloading, cross-docking, storage, inventory management, and value-added logistics provider located at:

By using our services, delivering goods to our facility, requesting a quotation, or entering into any agreement with RapidShips LLC, you ("Customer") agree to these Terms and Conditions.
2. Scope of Services
RapidShips may provide, but is not limited to, the following services:
- Warehousing
- Pallet storage
- Cross-docking
- Container unloading
- Container loading
- Transloading
- Freight consolidation
- Order fulfillment
- Pick and pack
- Inventory management
- Labeling and relabeling
- Pallet rebuilding
- Shrink wrapping
- Quality inspections
- Freight coordination
- Transportation brokerage (when applicable)
- Other logistics services agreed upon in writing
3. Quotes and Pricing
All quotations are estimates unless otherwise stated.
Pricing may change due to:
- Changes in shipment size
- Additional labor
- Delays caused by carriers
- Product condition
- Additional storage time
- Hazardous materials
- Customer-requested changes
- Government inspections
- Special handling requirements
Additional services performed outside the original quotation will be billed separately.
4. Payment Terms
Unless otherwise agreed in writing:
- Invoices are due upon receipt or according to agreed payment terms.
- Late payments may incur interest of 1.5% per month (18% annually) or the maximum amount allowed under New Jersey law.
- Customer agrees to pay all reasonable collection costs, including attorney's fees and court costs.
- RapidShips reserves the right to suspend services for delinquent accounts.
5. Storage Charges
Storage fees begin on the agreed storage commencement date.
Storage is billed monthly unless otherwise agreed.
Failure to remove inventory after notice may result in continued storage charges.
RapidShips reserves the right to refuse additional shipments for customers with overdue balances.
6. Warehouseman's Lien
RapidShips shall have a warehouseman's lien pursuant to applicable New Jersey law and the Uniform Commercial Code (UCC) on all goods stored or handled for:
- Storage charges
- Handling charges
- Transportation charges
- Labor
- Administrative fees
- Interest
- Legal fees
- Any other unpaid charges
RapidShips may enforce its lien rights in accordance with applicable law, including the sale or disposition of stored goods after any required notice.
7. Customer Responsibilities
Customer warrants that:
- All information provided is accurate.
- Goods are properly packaged.
- Goods comply with all federal, state, and local laws.
- Customer owns the goods or has legal authority to store them.
- Hazardous materials are fully disclosed before arrival.
- Proper documentation accompanies all shipments.
- Customer is responsible for all customs compliance and regulatory requirements.
8. Hazardous Materials
RapidShips must receive written notice before accepting any hazardous materials.
Failure to disclose hazardous materials may result in immediate refusal, removal, or disposal at Customer's expense.
Customer shall indemnify RapidShips for all damages resulting from undisclosed hazardous goods.
9. Inspection of Goods
RapidShips is not obligated to inspect goods unless specifically contracted.
Visible damage may be noted upon receipt; however, concealed damage or shortages remain the responsibility of the shipper or carrier unless otherwise agreed.
10. Inventory Accuracy
Inventory records are maintained based upon information provided by the Customer and warehouse transactions.
Customers should periodically reconcile inventory records.
Claims regarding inventory discrepancies must be submitted in writing within 30 days of discovery.
11. Limitation of Liability
RapidShips is not an insurer of stored goods.
Unless otherwise agreed in writing, RapidShips' liability for loss or damage shall be limited to the lesser of:
- The actual replacement value of the damaged goods;
- The amount recoverable under RapidShips' applicable insurance policy, if any; or
- $0.50 per pound of the affected goods, unless the Customer has declared a higher value in writing and paid any applicable additional charges.
RapidShips shall not be liable for:
- Loss of profits
- Lost sales
- Consequential damages
- Special damages
- Indirect damages
- Business interruption
- Loss caused by manufacturers
- Hidden defects
- Improper packaging
- Natural disasters
- Government action
- Labor disputes
- Carrier delays
- Acts of God
- Theft beyond reasonable security measures
- Force majeure events
12. Customer Insurance
Customers are strongly encouraged to maintain cargo insurance covering the full replacement value of all goods.
RapidShips' insurance does not automatically insure Customer inventory.
13. Claims
Any claim for loss or damage must:
- Be submitted in writing.
- Include supporting documentation.
- Be submitted within 30 days after delivery or discovery.
Failure to timely submit a claim constitutes a waiver of that claim to the fullest extent permitted by law.
14. Force Majeure
RapidShips shall not be liable for delays or failures caused by events beyond its reasonable control, including:
- Hurricanes
- Floods
- Fire
- Tornadoes
- Pandemics
- Labor shortages
- Government actions
- Utility failures
- Transportation interruptions
- Cybersecurity incidents
- Acts of terrorism
- War
15. Indemnification
Customer agrees to defend, indemnify, and hold harmless RapidShips LLC, its owners, employees, contractors, and agents from any claims, damages, losses, liabilities, penalties, or expenses arising from:
- Customer negligence
- Improperly packaged goods
- Hazardous materials
- Regulatory violations
- Intellectual property disputes
- Third-party claims related to Customer's products
16. Refusal of Service
RapidShips reserves the right to refuse service to any shipment that:
- Violates applicable law
- Presents safety concerns
- Contains prohibited materials
- Creates unreasonable operational risk
- Has unpaid balances associated with the Customer
17. Termination
Either party may terminate services in accordance with any written agreement.
Outstanding balances remain immediately due upon termination.
Stored goods must be removed within the timeframe specified by RapidShips after termination.
18. Confidentiality
RapidShips will use commercially reasonable efforts to protect confidential customer information and will not disclose proprietary business information except as required by law or necessary to perform contracted services.
19. Governing Law
These Terms and Conditions shall be governed by the laws of the State of New Jersey without regard to conflict of law principles.
20. Venue
Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Middlesex County, New Jersey, unless otherwise required by law.
21. Attorney's Fees
The prevailing party in any legal action arising under these Terms shall be entitled to recover reasonable attorney's fees and litigation costs where permitted by law or contract.
22. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
23. Entire Agreement
These Terms and Conditions, together with any written service agreement, quotation, warehouse receipt, or rate confirmation, constitute the entire agreement between RapidShips and the Customer.
24. Amendments
RapidShips reserves the right to update these Terms and Conditions at any time. The most current version will govern all future services unless otherwise agreed in writing.
